Eligibility.
Our services are available only to, and may only be used by parties that can form legally binding contracts under applicable law. If you are under the age of 18, you may only use this site unless under the supervision of your parents or guardians. If you do not meet the criteria, please do not use our site. To register, you must provide your real name, address, phone number and e-mail, along with other information that may be required.

ServeLoop Services and Fees.
This ServeLoop Services and Fees section of the User Agreement may have an effect on your membership. Joining and posting services for service buyers on ServeLoop is not free. We may change our Fees and collection procedures for our services from time to time. Our changes to the policy are effective after we provide you with at least fifteen (15) days' notice of the changes by email notice. We may in our sole discretion change some or all of our services at any time. In the event we introduce a new service, the fees for that service are effective at the launch of the service. You are responsible for paying all fees associated with using our services and the Site.

ServeLoop is a Venue.
ServeLoop acts as a venue to allow anyone to list and offer just about any type of service. We are not involved in the actual transaction between service buyers and sellers. As a result, we have no control over the quality, safety or legality of the service for sale or service bid/auction, the truth or accuracy of the listings, the ability of providers to execute their task or the ability of buyers to pay for their services. We cannot ensure that a buyer or seller will actually complete a transaction.
Identity Verification. We use various methods to verify the accuracy of the information our users provide us when they register on the Site. However, because user verification on the Internet is complex, ServeLoop cannot and does not confirm each users claimed identity. We are developing a user-initiated feedback system to help you evaluate with whom you are dealing.
Release. Because we are a venue, in the event that you have a dispute with one or more members, you release ServeLoop (and our officers and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.
Information Control. . We cannot totally control the information provided by other users that is made available through our system. You could find other user's information to be offensive, harmful, inaccurate, or deceptive. Please use caution and common sense when using the Site. Please note that there are also risks of dealing with underage persons or people acting under false pretenses. By using this Site, you agree to accept such risks and ServeLoop is not responsible for the acts or omissions of users on the Site. REPORT any issues of the above to info@serveloop.com

Buying and Bidding on ServeLoop.com
As a service buyer, you are obligated to complete the transaction with the provider, if you award a service auction to a provider. As a provider, by bidding on a service auction you agree to be bound by the conditions of the auction included in the service auction description so long as those conditions are not in violation of this Agreement or are unlawful.

Selling and Listing on ServeLoop.
Binding Bids. . As a seller or buyer of a service, when you bid or award an auction, it's a binding agreement for both parties. When awarding an auction to a provider both the service buyer and the service provider are obligated to comply with the initial standards and requirements pertaining to the service by local law and fair housing requirements. Both service buyer and service provider are strongly encouraged to further collaborate with each other offline to ensure efficient and timely service completion.
Fraud. The Site and Services may only be used for lawful purposes and in a lawful manner. You consent to comply with all applicable laws, statutes and regulations regarding the use of the Services. We may suspend or terminate your account if we suspect that you (by conviction, settlement, or otherwise) have engaged in fraudulent activity in connection with the Site.

Your Information.
Definition. "Your Information" is defined as any information you provide to us or other users in the registration, bidding or listing process, in any public or private message area including the feedback area or through any email feature. You are solely responsible for Your Information, and we act as a passive channel for your online distribution and publication of Your Information.
Restricted Activities. Your Information (or anything listed) and your activities on the Site shall not: (a) be false, inaccurate or misleading; (b) be fraudulent or involve the sale of any and all illegal services; (c) violate any law, statute, ordinance or regulation (including, but not limited to, those governing unfair competition, ant discrimination or false advertising); (d) be defamatory, trade libelous, unlawfully threatening or unlawfully harassing; (e) be obscene or contain child pornography or, if otherwise adult in nature or harmful to minors; (f) contain any viruses, Trojan horses, worms, time bombs, cancel bots, easter eggs or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; (g) create liability for us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers; and (h) link directly or indirectly to or include descriptions of services that are prohibited under this User Agreement.
License. You exclusively enable ServeLoop to use the information you supply us with, so that we are not violating any rights you might have in that information, you agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub licensable (through multiple tiers) right to exercise the copyright, publicity, and database rights (but no other rights) you have in Your Information, in any media now known or not currently known, with respect to Your Information. ServeLoop will only use Your Information in accordance with our Privacy Policy.

Access and Interference.
Most of the information on the Site is updated on a real time basis and is proprietary and is licensed to ServeLoop by our users or third parties. You consent that you will not use any robot, spider, scraper or other automated means to access the Site for any purpose. See Acceptable Use Policy.

Feedback.
You cannot take any actions that may undermine the integrity of the feedback system. We may limit the number of bids and listings you may place on the Site based upon the level of your feedback. 

Breach.
Without limiting other remedies, we may immediately issue a warning, limit your activity, immediately remove your bids or service listings, warn our community of your actions, temporarily suspend, indefinitely suspend or terminate your account and refuse to provide our services to you if: (a) you breach this Agreement or the documents it incorporates by reference; (b) we are unable to verify or authenticate any information you provide to us; or (c) we believe that your actions may cause financial loss or legal liability for you, ServeLoop users, or the Site.

Privacy.
We will not sell, share, or rent your personal information to others in ways different from what is disclosed in the Privacy Policy. We view protection of users' privacy as a fundamental part of the ServeLoop community. We understand clearly that you and your information is one of our most important assets. We store and process your information on computers located in the United States that are protected by physical as well as technological security devices. If you object to Your Information being transferred or used in this way please do not use our services.

No Warranty.
The Site and the Services are provided on an "AS IS" basis. User's use of and reliance thereon are at user's own and sole risk. ServeLoop makes no other representations or warranties of any kind, express, implied, or statutory. We, our subsidiaries, officers, directors, and employees specifically disclaim any implied warranties on rendered services by service providers, service provider's ability, and that the rendered services by service providers will meet your requirements and expectations.

Liability Limit.
ServeLoop will not be liable for any damages of any kind including without limitation direct, indirect, incidental, special, punitive and consequential damages, arising out of or in connection with this agreement, the Site, the Services, the inability to use the Services or those resulting from any Services purchased or obtained or messages received or transactions entered into through the Services whether such damages arise under theory of contract, tort (including negligence), strict liability or otherwise.

Indemnity.
You agree to defend, indemnify and hold ServeLoop, LLC and (as applicable) our subsidiaries, affiliates, officers, directors, agents, and employees, harmless from and against any and all claims, losses, liabilities, costs and expenses (including but not limited to attorney's fees) arising from or in connection with (a) your breach of this agreement, including the documents incorporated by reference (b) your violation of any state, federal, foreign or international laws, codes or regulations; and/or (c) your violation of any third party's rights, including, but not limited to, infringement of any copyright, violation of any proprietary right and invasion of any privacy rights (d) the job being performed. This obligation will survive the termination of this agreement.

Legal Compliance.
You must comply with all applicable domestic laws, statutes, ordinances and regulations regarding your use of our Services and your bidding on, listing, solicitation of offers to purchase, and sale of services.

No Agency.
You and ServeLoop are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

Additional Terms.
The Privacy Policy and Terms and Conditions are incorporated into this Agreement by reference and provides additional terms and conditions related to specific services offered on the Site. We reserve the right to modify this Privacy Policy at any time and at our sole discretion. The new modified terms shall automatically be effective upon posting on the Site. Also, we will inform you of any changes to the Privacy Policy via the email that we have on file for you.
